Elon Musk confirmed on SpaceXs third quarter earnings call on October 20, 2026 that Tesla and SpaceX are exploring a merger.... Both boards have formed special committees of independent directors to study it. , No terms have been agreed. Almost every headline since has been about the combined valuation, which would top $3 trillion. The detil that matters to anyone holding Bitcoin is smaller and more concrete... SpaceX holds 18,712 BTC and Tesla holds 11,509 BTC... , Fold them together and you get 30,221 BTC, roughly $2.4 billion at late October prices, sitting on a single corporate balance sheet. That stack is bigger than every public miner except MARA and bigger than every corporate treasury excpet a handful of companies whose entire business is buying Bitcoin.
What Musk actually said about the merger
The confirmation came in response to an analyst question, not a press release.. Musk said the idea was a good one but that it was out of his hands..... Do I think it would be a good idea, yes. But at the end of the day, the shareholders have to be supportive of this, he said... He also described his own positoin in unusually plain terms: Its an odd kabuki dance where two groups of people are talking, and I cannot be in the conversation....
He cannot be in the conversation because he owns too much of both sides. Musk holds about 36 percent of SpaceX outright, or 48.4 percent including restricted shares and unexercised options, and 19.8 percent of Tesla. Any deal has to be negotiated beween the two independent committees and then approved by a majority of Teslas shareholders. Musk called that a fairly high bar... a JPMorgan note published the next day sketched the most likely structure an all stock takeover of Tesla by SpaceX at a 30 to 35 percent premium, paid for with SpaceXs roughly $2 trillion valuation. Nothing in the Bitcoin positoin changes under that structure. The coins simply end up reporting to one set of auditors instead of two.
Who holds what today
Neither company bought or sold a single coin in the third quarter. The counts below come from the September 30 filings. Values use each companys own reported digital asset line, which for Tesla includes a small ammount of non Bitcoin assets.
| Company | BTC held | Acquisition cost | Carrying value Sep 30, 2026 | Last change to the count |
|---|---|---|---|---|
| SpaceX | 18,712 | About $661 million | $1,573 million | June 2022 trim from roughly 28, 000 BTC |
| Tesla | 11,509 | $386 million | $962 million | Q2 2022 sale of about 75 percent |
| Combined | 30,221 | About $1.05 billion | About $2.53 billion | None since mid 2022 |
The combined cost basis is aorund $1.05 billion, which puts the blended entry price near $34,700 per coin. , At the $80,000 level Bitcoin reached after its third straight weekly decline, the position is still worth more than double what the two companies paid. That is the quiet part of this story. Two companies that have not touched their Bitcoin in four years are sitting on an unrealized gain of roughly $1.4 billion, and the merger would consolidate it wihtout anyone having to sell a coin or justify a purchase.

Tesla sold, SpaceX held
The two stacks have very different histories, and the contrast says a lot about which culture would run a combined treasury.
Tesla bought $1.5 billion of Bitcoin in early 2021, sold about 10 percent of it within weeks in what Musk called a liquidity test, then dumped roughly 75 percent of what remained in the second quarter of 2022 as the company managed cash trough Chinas lockdowns.. The 11,509 BTC left over have not moved since... Teslas 10 Q for the quarter ended September 30 shows the same 11,509 units at the same $386 million cost it has reported for years.
SpaceX took a different route. It accumulated around 28, 000 BTC, trimmed in June 2022 at the same time Tesla did, and then stopped. The remaining 18,712 BTC have been untouched for more than four years. That numbr only became public when SpaceX filed its S 1 ahead of its June 2026 Nasdaq listing under the SPCX ticker..... Until then, nobody outside the company knew how much it held.
Why the on chain trackers missed more than half of SpaceXs stack
This is the detail crypto natives should care about most.. Before the S 1, Arkham and BitcoinTreasuries both estimated SpaceXs holdings at 8,285 BTC. The real figuer in the filing was 18,712 BTC, more than double the tracked amount... The gap was about 10,400 coins, worth close to $850 million at todays price.
Broadly, the tracked 8,285 BTC sat in a Coinbase Prime custody balance that analysts had tied to SpaceX through address clustering. The other 10, 400 coins were somewhere the clustering could not see. That could mean a second custodian, segregated omnibus accounts, or simpley cold storage addresses that were never linked. The filing did not say. What it proved is that on chain attribution for corporate treasuries is a floor, not a count........ every ranking of corporate Bitcoin holders that relies on blockchain analysis rather than audited disclosure is capable of being off by half for any company that has never filed with the SEC.... That matters for the next privtae company with a large stack, whether it is a payment processor, an exchange, or a gambling operator.
Where 30,221 BTC would rank among corporate holders
For the record, bitcoinTreasuries ranked a combined Tesla and SpaceX sixth among publicly traded corporate holders on October 21, behind Strategy, Metaplanet, Twenty One Capital, MARA and Strive. The figures below are compiled from October filings and tracker data and are approximate, becuase several of these companies buy weekly.
| Rank | Company | Approximate BTC | Core business |
|---|---|---|---|
| 1 | Strategy | About 848,000 | Bitcoin treasury |
| 2 | Twenty One Capital | About 43,500 | Bitcoin treasury |
| 3 | Metaplanet | About 43,000 | Bitcoin treasury |
| 4 | MARA Holdings | 35,577 | Mining |
| 5 | Strive | 29,462 on Oct 2, buying since | Bitcoin treasury |
| 6 | Tesla and SpaceX combined | 30,221 | Cars, rockets, AI |
| 7 | Galaxy Digitl | About 25,700 | Crypto finance |
| 8 | Coinbase | About 16, 500 | Exchange |
Look at the right column... Every company above the combined entity, apart from MARA, exists specifically to hold Bitcoin and issues stock or debt to buy more. A merged Tesla and SpaceX would be the largest holder by a wide margin among companies that do somethig else for a living. Strategys 848,000 BTC make it a Bitcoin fund with a software division attached. A combined Musk company would hold 30, 221 BTC as a rounding error on a balance sheet that just spent nearly $20 billion on capital expenditure in a single quarter.
Why $2.5 billion is a rounding error here, and why that is good for Bitcoin
SpaceX reported third quarter revenue of $14.58 billion againt a $12...7 billion consensus, and spent $19.59 billion on capex, $16.44 billion of it on AI infrastructure. It expects fourth quarter capex of $35 to $40 billion. Tesla holds $45.4 billion in cash and investments. Against those numbers, $2.5 billion of Bitcoin is about 2 percent of Teslas liquidity and under 0.1 percent of a $3 trillion combined markte value.
That is exactly why the position is stable. Strategy has to keep buying because its share price depends on it. Miners sell because they have power bills. Neither Tesla nor SpaceX has any structural reason to touch its Bitcoin, which is why four years have passed without a transaction. The coins are not collateral, not a yield stratgey and not a marketing campaign.... They are a position two companies made in 2021 and then forgot about, and a merger would not change that calculus. But The Bitcoin line still moves the numbers at the margin..... Tesla booked a mark to market gain of about $290 million on its coins in the third quarter. After tax that was roughly $224 million, or close to 28 percent of the quarters $787 million net icnome. In the first quarter it went the other way with a $222 million loss. The stack is small relative to the company but large relative to a quarters profit. Which means Teslas earnings now carry a visible Bitcoin beta whether management wants one or not.
What stands between the talks and a deal
Broadly, three things.. First, the committees have to agree a price, and Musk cannot help them. Second, a majorty of Teslas shares have to vote yes, and Teslas retail heavy shareholder base is unpredictable. Third, and according to JPMorgan the biggest obstacle, China has to approve. Tesla generates about 20 percent of its revenue in China, and Starlink is not authorized to operate there.. Beijing approving a merger that puts its largest foreign EV plant inside a satellite company it has blocked is not a formality.
For real, none of those hurdles involve Bitcoin. That is the point. The merger could collapse tomorrow and both stacks would stay exactley where they are. It could close in 2027 and the coins would stay exactly where they are....... The only scenario in which 30, 221 BTC moves is one in which a combined company decides it wants to... And nothing either company has done since 2022 suggests that interest exists in either direction.
What this means for Bitcoin holders
In the long run, three practical takeaways from the first week of merger talk.
Corporate Bitcoin is stickier than it looks. The two most watched corporate holders outside the treasury companies have not sold a coin throgh a 35 percent drawdown from the October 2025 high of $126,080. Supply held by companies that do not need to sell is the kind of supply that does not come back to market during a weak month like this one. Of course, Do not trust tracker rankings for private companies.. The SpaceX S 1 showed Arkhams estimate was short by more than half. The next time a tracker tells you how much a privtae exchange, payment firm or casino operator holds, treat it as the minimum.
Watch the fourth quarter filings, not the merger headlines.. teslas next 10 Q in early 2027 is the first place a change in the 11, 509 count would appear... A higher number would be the first new corporate buy from a Musk company in five years. A lower one would be a far bigger story than the merger.
The corporate treasury bid has become one of the steadier sources of demand in a makret where ETF flows swing from a $526 million inflow to the largest single day outflow since June inside the same week..... Platforms that settle in Bitcoin every day, CryptoCasino....Vegas among them, have watched that pattern since 2022: the coins that sit untouched on corporate balance sheets are the ones that never show up as sell pressure. And 30, 221 of them are about to sit under one roof.
